1. Introduction

Welcome to Chicken Road ("the App"). These Terms of Service ("Terms") govern your use of the Chicken Road mobile application, website, and any other related services (collectively, the "Services") operated by Chicken Road Inc. ("we," "us," or "our").

By downloading, installing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Services following any changes indicates your acceptance of the modified Terms.

2. Account Registration

Some features of our Services may require you to create an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements. We reserve the right to suspend or terminate accounts that we believe have been compromised or are being used fraudulently.

3. User Content

Our Services may allow you to create, upload, post, send, receive, and store content ("User Content"). By providing User Content through our Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, modify, create derivative works from, distribute, publicly display, and publicly perform your User Content for the purpose of operating, developing, and providing our Services.

You are solely responsible for your User Content and the consequences of posting or publishing it. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish any User Content you submit. You agree that your User Content will not contain material that is unlawful, obscene, defamatory, threatening, invasive of privacy or publicity rights, or otherwise objectionable.

4. Prohibited Activities

When using our Services, you agree not to:

5. Intellectual Property

The Chicken Road app, logo, and all related content, features, and functionality are owned by Chicken Road Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not use, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally and ordinarily permitted through the Services according to these Terms.

6. In-App Purchases and Subscriptions

The App may offer subscription services and in-app purchases. These purchases are processed through the app marketplace relevant to your device (e.g., Apple App Store, Google Play Store). Purchases are not refundable except as required by applicable law.

Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscriptions by going to your account settings in the app marketplace.

Prices for our Services may change at any time, and we do not provide price protection or refunds in the event of a price reduction or promotional offering.

7. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

8. Limitation of Liability

IN NO EVENT SHALL WE, OUR AFFILIATES, OR OUR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE DATE OF THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

We will make an effort to provide reasonable notice of any material changes to these Terms, such as posting a notice on our Services or sending an email to the address associated with your account. Your continued use of the Services after the effective date of such changes constitutes your agreement to the new Terms.
